Terms of Service

RelayGrid is a service operated by CreativeDesign LLC ("Company," "we," "us," or "our"). When these Terms refer to RelayGrid, they refer to the platform and services operated by CreativeDesign LLC. By accessing or using RelayGrid, you are entering into a legal agreement with CreativeDesign LLC.
1. Acceptance of Terms
By accessing or using the services, platform, dashboard, REST API, or any software development kit (SDK) provided by RelayGrid, operated by CreativeDesign LLC ("Company," "we," "us," or "our"), you ("Customer," "User," or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use RelayGrid.
2. Description of Services
RelayGrid provides a cloud-based mass notification platform ("Services") that enables businesses and developers to:
- Send notifications across web, mobile, and desktop platforms with our unified API to end users at scale;
- Integrate notification capabilities via our REST API or mobile/web SDKs;
- Manage, schedule, and segment notification campaigns via our web dashboard;
- Analyze delivery, engagement, and performance metrics for sent notifications.
Services are provided on a subscription or usage-based basis as described in your selected plan.
3. Account Registration
3.1 You must register for an account to access the Services. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 You are responsible for maintaining the confidentiality of your account credentials, including your API keys. You are solely responsible for all activity that occurs under your account.
3.3 You must be at least 18 years of age to create an account. By registering, you represent and warrant that you meet this requirement.
3.4 You may not share your account credentials with unauthorized third parties or create accounts using false identities.
4. Acceptable Use
4.1 Permitted Use. You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services to send notifications only to end users who have provided valid, prior consent to receive such communications, in compliance with all applicable laws.
4.2 Prohibited Conduct. You agree not to use the Services to:
- Send unsolicited messages, spam, or communications to individuals who have not consented, including any marketing, promotional, or advertising material unless the recipient has explicitly and affirmatively opted in to receive such communications;
- Transmit unlawful, harassing, abusive, defamatory, obscene, or fraudulent content;
- Violate any applicable law or regulation, including but not limited to the CAN-SPAM Act, GDPR, CCPA, TCPA, or other applicable privacy and anti-spam laws;
- Circumvent or interfere with the security, integrity, or availability of the Services;
- Conduct phishing, distribute malware, or engage in any deceptive practices;
- Impersonate any person or entity or misrepresent your affiliation;
- Use the Services to contact minors without appropriate parental consent where required by law;
- Reverse engineer, decompile, or attempt to extract source code from our platform or SDKs;
- Access or use RelayGrid from or on behalf of any individual or entity located in a European Union member state.
- Resell, sublicense, or otherwise commercialize the Services without our prior written consent.
4.3 We reserve the right, but not the obligation, to monitor use of the Services for compliance with these Terms and to investigate any reported violations.
5. API and SDK License
5.1 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our REST API and SDKs solely for the purpose of integrating and using the Services in your applications.
5.2 You may not use the API or SDKs in a manner that exceeds rate limits, constitutes excessive or abusive usage, or degrades our infrastructure or other customers' experience.
5.3 We may update, modify, or deprecate API endpoints or SDK versions at any time. We will use commercially reasonable efforts to provide advance notice of breaking changes.
6. Customer Data and End User Data
6.1 "Customer Data" means all data, content, and information you submit to or through the Services, including end user contact information, device tokens, and notification content.
6.2 You retain all ownership rights to your Customer Data. By using the Services, you grant RelayGrid a limited, non-exclusive license to process and use Customer Data solely to provide and improve the Services.
6.3 You represent and warrant that you have obtained all necessary rights, consents, and permissions to provide Customer Data to us and to send notifications to your end users, including any consents required under applicable law.
6.4 You are solely responsible for the accuracy, legality, and appropriateness of all Customer Data and notification content transmitted through the Services.
7. Fees and Payment
7.1 You agree to pay all fees applicable to your selected subscription plan or usage tier as described on our pricing page, as may be updated from time to time.
7.2 All fees are due in advance and are non-refundable unless otherwise stated in writing. We reserve the right to change pricing with at least 30 days' written notice.
7.3 If you fail to pay any fees when due, we may suspend or terminate your access to the Services. You are responsible for all taxes applicable to your use of the Services.
8. Intellectual Property
8.1 All rights, title, and interest in and to the Services, platform, dashboard, APIs, SDKs, documentation, and all related intellectual property are and shall remain the exclusive property of RelayGrid and its licensors.
8.2 These Terms do not grant you any rights to use RelayGrid's trademarks, logos, or brand assets without our prior written consent.
8.3 If you provide feedback, suggestions, or ideas regarding the Services, you grant us a royalty-free, worldwide, perpetual license to use such feedback without obligation to you.
9. Confidentiality
Each party agrees to keep confidential any non-public information of the other party disclosed in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential. Neither party shall disclose such information to third parties without the prior written consent of the other party, except as required by law or as necessary to provide the Services.
10. Warranties and Disclaimers
10.1 We warrant that we will provide the Services using reasonable care and skill and in material conformance with our documentation.
10.2 DISCLAIMER. EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of Liability
11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RELAYGRID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
11.2 OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11.3 Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless RelayGrid and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your Customer Data; (d) your violation of any applicable law or third-party rights; or (e) your end users' claims related to notifications sent through your account.
13. Term and Termination
13.1 These Terms commence on the date you first access or use the Services and continue until terminated.
13.2 Either party may terminate these Terms for convenience upon 30 days' written notice. We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or if required by law.
13.3 Upon termination, your right to access and use the Services will cease immediately.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on our website or by emailing you. Your continued use of the Services after the effective date of such changes constitutes your acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
16. General Provisions
16.1 Entire Agreement. These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and RelayGrid with respect to the Services.
16.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
16.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
